Strategy. Preparation of a business plan and investment acquisition
strategy for a company in the hearts of palm industry in Latin America.
Upon completion of due diligence and financial analysis, GIC will be responsible

Private Equity Funds.
GIC and its partner, Latin America Enterprise Fund (LAEF), are launching
a $100 million private equity fund for food, agribusiness and ag biotech
industries in Latin America. The 21st Century Latin America Fund already
includes 12 potential investments which have been reviewed by GIC staff.
Given the current level of investor commitments, the closing date for the
fund is scheduled for December 31, 2000.
The partners bring a combination of
technical expertise and fund management experience in Latin America.
LAEF manages $420 million in two private equity funds with offices in Brazil,
Argentina, Chile, and Mexico, and has been a leading private equity investor
in the region for the past six years. GIC will be a General Partner
and Manager of the Fund. LAEF will serve as strategic advisor and
fund administrator.
Private Placement: Certified Pure Ingredients, an organic and natural
food producer and processor, has engaged GIC to prepare financial documentation
and source capital for the company. CPI is a leading supplier of organic
berries and natural mint oil grown and processed by a subsidiary, CPI-Chile
and Agricola located in Chile. CPI and GIC have jointly developed a debt
restructuring plan which will permit the company to grow and achieve greater

Private Placements: Organic Production and Flour Mill. GIC is developing a business plan and sourcing
capital for a new flour plant. The proposed plant site is in Virginia. The
principal investor has a large flour mill overseas and has experience in the
industry. The business plan will be completed by November 22, at which
time GIC will be seeking long-term debt financing.
China Dairy Farm & Milk Processing
Facilities. Private Client. Ongoing. The GIC Group
completed a due diligence review of proposed vertically-integrated dairy
projects near a major metropolitan area in China. GIC also prepared
the client's business plan and is currently presenting the proposal to
various institutional investors.
Evaluation of Potential Exits for
Food and Agribusiness Private Equity Investments in Latin America.
Private Equity Fund. March 2000. The GIC Group conducted
a thorough study of the potential exit markets for private equity investments
in Latin American agribusiness companies. The study included an analysis
of foreign investments in four Latin American countries: Argentina,
Brazil, Chile, and Mexico. It also discussed in detail the depth
of the IPO markets for Latin American agribusiness and contained profiles
on current private equity funds in the region.
Angolan Fish Processing Plant Expansion.
U.S. Trade and Development Agency and the Overseas Private Investment Corporation.
August 1999. GIC conducted a desk study to assist
TDA and OPIC in assessing the investment potential of a proposed Angolan
fish processing plant expansion by a U.S. firm. The analysis included
demand, supply, and price projections in Angola and in key international
markets for tuna; an assessment of the E.U.'s regulatory regime with regard
to fish; an evaluation of the key international competitors of Angola;
and conclusions regarding the advisability of official U.S. pecuniary support
of the proposed investment.
Corporate Profiles and Strategic
Investment Planning. Ongoing. GIC is conducting intensive
reviews of potential M&A candidates for a private agribusiness company.
It is also serving in an advisory capacity to the company for purposes
of concluding investment transactions.
M&A Services, Acquisition of
a Brazilian Grain Trading Company by ITOCHU International, Inc. January
1999. ITOCHU International (NY) is a Japanese commodity trading
house that was seeking to expand its soybean origination capabilities in
Latin America for commodities and Identity Preserved (IP) products.
GIC identified a suitable target for acquisition, the third largest Brazilian
grain trading company (Eximcoop), and was retained by ITOCHU International
to provide consulting services regarding the latter's targeted acquisition
of Eximcoop. Investment services provided by GIC included financial
analysis, foreign currency risk minimization strategy, share valuation,
deal structuring, corporate governance assessment, market analysis, and
analysis of the Brazilian grain trade and macroeconomic environment.

VST Natural Foods. India. 1998. GIC conducted due diligence
and financial services for the divestiture of VST Natural Foods, an Indian
subsidiary of British-American Tobacco.
Agro Advantage International Export
Promotion. Maharashtra, India. 1998. GIC supervised
35 pre-feasibility agribusiness projects and directed ten investment grade
projects for the Agro-Advantage project of the Government of the State
of Maharashtra, India. Projects include a cold chain for fruit and
vegetables export, a fruit and vegetable canning plant for export, an oleoresin
extraction facility, a precision agriculture equipment manufacturing facility,
a market information system (MIS) service, and an agro-hub port facility.
GIC also developed a White Paper on Foreign Direct Investment Incentives
and coordinated project work among The GIC Group, U.S. consultants, Indian
consultants, and the Government of Maharashtra.
Finagro. New Delhi and Mumbai,
India. 1998. GIC, together with the Confederation of Indian
Industry, organized and hosted Finagro, a forum for agribusiness enterprise
and infrastructure financing. Bringing together representatives from
leading financial institutions and agribusiness companies worldwide, Finagro
successfully introduced new sources of funding to agribusiness enterprises
and infrastructure projects in India.

Clients. 1997-98. For several medium- to large-sized food sector
clients, GIC assessed the market potential for direct investments in Southern
India. GIC has established a local presence through an affiliated investment

Export/Investment Assessment, Ruchi,
India. 1997. GIC assessed the global and, specifically, the U.S. markets
for soy products and possible long-term investment options for a larger
soy processor in India. The assessment included a series of teleconferences
with U.S. industry representatives, analysis of barriers to entry, and
a survey of niche markets.
South Africa, Angola and Peru: Evaluations
and Identification of Fertilizer Projects throughout Africa. U.S. Trade
and Development Agency. 1997. GIC developed strategies for investment
in and expansion of the fertilizer industry in various African and Latin
American countries. GIC also conducted an analysis of key sectoral
issues and policies affecting investment and review of planned fertilizer
industry development and expansion projects in targeted countries.
Joint Venture Services, Development
of JV between Indian Seed Company and International Trading Company. Private
Client. 1997. The GIC Group designed and implemented strategies
for development of an Indian/international joint venture. GIC analyzed
the feasibility and synergies which impact the success of the proposed
joint venture and the project's principals.
Prefeasibility Study, Re-Export/Transshipment
Facility for U.S. Bulk Exports to Asia. 1997. As part of an in-depth
study to assess the feasibility of a Rotterdam-style re-export facility
in Asia for U.S. bulk agricultural exports, GIC appraised the infrastructure
and development costs for new or expanded port facilities in Asia.
GIC produced the financial model for trade flows, transportation rates,
and other costs associated with maritime shipping, and integrated
these factors into capital cost estimates to determine the feasibility
of the export facility. GIC recommended the financing strategy and
potential ownership structure for the proposed facility.
M&A Services, Acquisition of
Midwestern Grain Company by International Trading Company. Private
Client. 1997. GIC conducted due diligence for acquisition of
domestic grain company by one of the largest international trading companies.
GIC also provided advisory services in areas of investment strategy, logistics,
corporate governance, and corporate finance.
Indian Agricultural Finance Study.
1997. The GIC Group and GIC India completed a two volume report
detailing the Indian agricultural finance structure, activities, and opportunities.
The report also addressed opportunities for small to medium-sized agricultural
companies in India.
Project Finance, Spice Oleoresin
Manufacturing Facility in India. Private Client. 1997. GIC developed
a business plan for the proposed $3.5 million plant to produce highest-quality
oleoresins, pharmaceuticals, and natural dyes for export to the U.S. and
Europe. GIC worked to secure private sector equity investors and
long-term marketing agreements for the project to go on-line in 1998.
M&A Services, Acquisition of
a Grain Processing Unit (Sharon). ITOCHU International, Inc.
December 1996. GIC was retained by ITOCHU International to conduct
on-site due diligence of a grain processing unit--Sharon Interstate Grain
(SIG)--as part of ITOCHU's strategy to expand its origination base in the
U.S., especially origination of specialty grain. The investment services
provided by GIC included financial analysis, auditing, evaluation of futures
positions, asset valuation, deal structuring, corporate governance assessment,
and market analysis. The objective of the due diligence process was
to confirm all information provided by SIG; to assess the economic viability
of SIG; to analyze SIG's expected role in ITOCHU's investment plans; and
to assist ITOCHU in determining an acquisition price and management structure
after acquisition.
Global Market Analysis and Feasibility
Study Assessment. Bindra Agro Industries Corporation. January 1996.
Analyzed price competitiveness for the product lines of a proposed U.S.
$40 million horticultural products processing project in North India.
The plant will produce frozen and canned vegetables and fruit juice concentrates.
Developed containerization, transportation and tariff costs to targeted
markets in the Middle East, Europe, the U.S., and Southeast Asian nations.
Prepared overall marketing strategy and held preliminary negotiations with
potential large-volume importers and brokers. Also evaluated capital
and engineering cost outlays and made alternative recommendations.
Private sector finance program prepared for the International Finance Corporation
(IFC) of the World Bank.
Fish Meal/Fish Feed Plant in Gloucester,
Massachusetts. City of Gloucester. 1995-1996. GIC conducted
a feasibility study for the establishment of a meal and feed processing
facility in Gloucester. The project is under review by potential
investors.
Rice Processing Mill Project in
Punjab, India. Private Sector Client. December 1995. Development
of turn-around strategy including a debt restructuring plan for a composite
rice mill with an estimated replacement value of U.S. $45 million.
Helped to secure a Canadian buyer for the mill.
Investments in Gaza, West Bank.
U.S. Trade and Development Agency. 1994-1995. GIC was retained
by the USTDA to evaluate and make recommendations on investment proposals
for the West Bank and Gaza. GIC assessed markets, capital structure,
sponsor specifications, and preliminary project economics for an olive
oil facility in the West Bank and a vegetable processing plant in Gaza.
Cape Ann Inland Waters Processing
Venture. Conservation Law Foundation. 1994. GIC worked
with the Cape Ann Fishermen's Cooperative to develop a wholesale processing
venture within the internal water off the coast of New England. The
project would reduce pressure on overexploited species.
Guadalajara Wholesale Market: Definitional
Mission. U.S. Trade and Development Agency. 1994. GIC advised
the USTDA and an organization of Mexican wholesale traders on the establishment
of a terminal wholesale market. GIC assessed capital requirements,
equipment costs, infrastructure upgrade costs, and financing mechanisms.
U.S./Baltic Joint Venture.
Private Consortium/International Finance Corp. 1993-1994. GIC
designed a joint venture between an international consortium and a state-owned
Baltic enterprise following a detailed feasibility study. Based on in-country
analysis and discussions with enterprise managers in the three Baltic states,
GIC designed an upgrade-operate-transfer structure for a Baltic deep sea
trawler fleet. The capital structure utilized an innovative, in-kind
equity contribution by the state-owned enterprise. For the Consortium,
GIC conducted vessel valuations, costed equipment upgrades, made debt and
equity projections, structured throughput agreements, designed risk hedges
and elicited the support of multilateral finance sources.
Weija Aquaculture Project: Ghana.
African Development Bank and Government of Ghana. 1991-1992.
Feasibility study to establish an aquaculture project in Ghana. The
study identified the economic benefits for locating a commercial fish farm
to supply local and regional export markets, and included the following
components: domestic and export market analysis, site surveys, engineering
study, nutritional impact assessment, and financial and economic analysis.
Investment Feasibility: Tomato
Project in Dominican Republic. Private Client. 1990. Pre-feasibility
review of a potential equity venture for counter-seasonal growing and marketing
of fresh tomatoes. GIC conducted marketing and pricing studies
and developed the business and financial plans.
The Impact of E-Commerce on the Food and Agribusiness Industries. A multi-client study that provides food and agribusiness companies with the essential information to design and implement their e-commerce strategies. It offers practical suggestions based on a comprehensive assessment of existing and near-to-market options. The study contains: 1) a review of the basic concepts of e-commerce; 2) an identification of the economics of e-commerce and how it affects the food and agribusiness industries; and, 3) a methodology for analyzing the impact of e-commerce on the subscriber company's business. The study reviews existing and upcoming applications to build a company's e-commerce architecture and provides a roadmap for designing a company e-commerce strategy. It analyzes the impact of these changes for the companies who serve this market as well: input suppliers, farmers, food processors and distributors, food retailers and consumers, food and trading services companies, and financial institutions.
The Impact of the Corn Import Duty on Colombia's Poultry and Feed Industries. Study for the USGC to assess the impact of Colombia's corn import tariff on the potential for growth for the poultry and industrial corn processing sectors in Colombia. Colombia's increases in corn import tariffs raise several key policy issues of interest for Colombia's poultry and feed manufacturing sectors. The study assesses the impact of the import tariff on the competitiveness of Colombian poultry and feed manufacturing versus other Andean countries.
Evaluation of Korea's Swine Program. An evaluation of the effectiveness of the US Grains Council in ensuring pork production efficiency and viability in Korea, industry expansion, greater consumer trust and acceptance, and competitiveness of the industry in order to sustain or increase feed grain demand. The report assesses the Council's feed grain demand-building efforts in the swine sector and provides recommendations to the Council for future program direction.
Dried Flower Export Analysis. APEDA. 1997. The GIC Group was awarded a contract by the Agricultural and Processed Products Export Development Authority (APEDA) in India to complete an analysis of the export potential for dried flowers. The North Eastern Zone of India was used as a model. The report addressed flower production and processing in India, export markets of three western markets, international prices, and competitiveness.
Malathion Use in the United States. Private Client. April 1997. The GIC Group conducted a state-by-state analysis of post harvest malathion use for key field crops. The study included a survey of over 40 fruits, vegetables and field crops for total usage, application rates and the toxicity of malathion in various environments.

GIC completed a comprehensive analysis of the U.S. wheat milling industry, including definition of all key millers, concentration ratios, recent mergers and acquisitions, and wheat flour exports. Horticultural Marketing & Distribution Project: India. National Dairy Development Board & The World Bank. August 1991 to May 1993. GIC developed a comprehensive fresh fruit and vegetable marketing system for six metropolitan centers in India. The 10 person team studied all aspects of the horticultural sector -- production, procurement, handling, transportation, storage, packaging, wholesale and retail marketing. This included the development of an institutional framework and a computerized database, conducting financial and economic analysis, defining trade needs, and generating designs/layouts of all necessary facilities.
Marketing Services. Joint Agricultural Coordinating Council (JACC), Dominican Republic. 1988-1990. GIC conducted market and financial research for JACC growers/members interested in exporting non-traditional food products to the United States and Western Europe. It negotiated with American distributors for purchase contracts and handled containerized shipping through GIC Trade, Inc.
Appropriate Marketing Programs for Promoting American Agricultural Exports. General Accounting Office. 1992-1993. GIC headed a review of alternative marketing mechanisms and worked with a panel of experts to develop appropriate new initiatives for legislators and policy makers. It assessed budget implications of market oriented farm programs on an ongoing basis and analyzed the market potential for higher value products from the U.S. to Asia.
Evaluations: Marketing Activities in Western Europe, Middle East and Asia. Western United States Agricultural Trade Association (WUSATA). March 1988 to June 1989. GIC conducted field evaluations of country and product marketing activities under TEA (Targeted Export Assistance) grants awarded to WUSATA by the U.S. Department of Agriculture. It measured the impact of promotion and market development programs in foreign markets on U.S. agricultural products produced in WUSATA member states.
Market Analysis for Counter-Seasonal Fruits Exported from Uruguay to United States, Canada and European Economic Community. 1987. GIC provided research and analysis as a subcontractor on transportation rates, competitive export practices, European consumption trends and distribution channels, and market assessments. The report served as a pre-feasibility study for Uruguayan potential investors.
Japan's Changing Consumer Markets/Food Product Preferences Under Three Trade Policy Scenarios. Nomura. 1984. GIC's participation in this comprehensive study included trade impact analysis, and assessing the costs to consumers of different food products as a function of their imported price. Projections were provided under three scenarios -- greater trade liberalization, baseline, and more protectionism in Japan.
Export Sales and Import Procurement Policies for CONASUPO, Mexico. December 1981. GIC conducted a market analysis for sorghum, recommending basis priced contracts for CONASUPO during a fixed period of the crop year. The methodology for the study entailed an analysis for futures and cash prices. A cost comparison model was developed to determine the net benefit of a flexible versus fixed price contract.

Colombian Food Products, Current. GIC teamed with Infoamericas
to provide market research services to the Colombian export agency (Proexport).
GIC is conducting research on the potential for Colombian value-added
food products in the US, Mexican, and Venezuelan markets. The research
entails a competitive assessment of Colombian export products and recommends
competitive strategies for targeted markets.

Additive Industry, Current. GIC has researched for a corporate
client the US animal feed additive industry: market size, key players strategies,
supply chain, segment analysis, and competitive strategies. GIC has recommended
several potential entry strategies for their products in that industry

Commodity Re-export and Port Analysis
for Asia. United Soybean Board. 1998. GIC completed
a long-term study of soy product shipments to Asia and how to overcome
the inefficiencies in shipping to Asia, focusing specifically on logistical
issues involving Asian ports. The study developed a strategy for
accessing Asian markets through the establishment of a new re-export port
facility for soybeans and soy products located in Asia.

Agricultural Commercialization and
Enterprise Project. U.S. Agency for International Development, State
of Maharashtra, India. 1992-1997. GIC was the primary contractor
to Chemonics International for implementing the Agricultural Commercialization
and Enterprise (ACE)Project in India. The purpose of the ACE Project
was to develop private sector-led investments, business services, and market
structures for post-farm products in India's horticultural sector.
The project assisted over 100 private firms in designing and/or implementing
innovative projects related to post-farm horticultural investment and further
promoted the development of post-farm business services in support of the
horticultural subsector.
Haryana Wholesale Market.
State of Haryana, India. 1996 (Pending). In conjunction
with A. Epstein & Sons, GIC developed a logistical plan for a proposed
30 million per ton per year Indian wholesale complex. The plan includes
financing alternatives for the proposed market which includes food processing
facilities and an export center. Includes domestic and international
finance avenues, as well as income generation schemes.

Providing strategic planning services to one of India's largest trucking
companies to diversify into modern, high-efficiency distribution systems.
The company is developing multi-modal transportation systems, a refrigerated

projects include agro-processing facilities, port development and wholesale

GIC conducted a series of seminars to instruct farm operators and food
processors in marketing high-value products, and the distribution and logistical
requirements of bulk commodities versus finished, processed products.
Presentations ranged from production to wholesaling, packaging/processing,
and delivery of horticultural products. Participants included grower
organizations, wholesale base managers, retailers, and policy makers.
The seminars also contained a training component.
Pre-feasibility Study for Agricultural
Distribution Marketing, Guadalajara: Mexico. U.S. Trade &

request from the Government of Mexico to the client agency for a detailed
feasibility study of the Agricultural Distribution Market. Study

1991-1993. GIC designed a comprehensive fresh fruit and vegetable
marketing and distribution system for six metropolitan areas in India.
The 10 person team studied all aspects of the horticultural sector including
production, procurement, handling, transportation, storage, packaging,
and wholesale and retail marketing. This included the development
of an institutional framework and a computerized database, conducting financial
and economic analysis, defining training needs and generating designs/layouts
of all necessary facilities. Responsibilities included market research,
economic analysis and social cost-benefit analysis. The total projected
investment was U.S. $50 million. The study is considered one of the
most comprehensive investigations of the produce marketing system in India.
The innovative approach and recommendations have been strongly endorsed
by the World Bank.
Third Party Intermodal Logistics
and Electronic Data Interchange (EDI). People's Republic of China,
Ministry of Transport. November 1994. GIC consultants delivered
a report and commercial intelligence briefing on leading technologies shaping
the transportation and distribution industries internationally for a delegation
of Chinese officials responsible for planning China's transportation infrastructure.
GIC described the development of third-party integrated logistics, intermodal
transport and EDI in the United States and related it to Chinese transport
and distribution issues. Also included were an analysis of current
trends and future considerations pertaining to the development of intermodal

GIC assisted the World Bank in preparing a strategy for privatizing the
former, state-owned distribution system in a manner that maximizes new

Post-Privatization Restructuring
of Rail Operations in Argentina. Transport Consulting Firm, Private
Client. 1993. As subcontractor to a major international
transportation consulting firm, GIC provided advisory assistance to FEPSA
(Ferro Expreso Pampeano), one of Argentina's first privatized freight railroads.
GIC analyzed traffic flow under a number of liberalization and trade scenarios
affecting the primary shippers on the concession line. With weak
commercial experience and significant losses, FEPSA required restructuring.

Definitional Mission for Container
Handling Facility at Acajutla Port: El Salvador. U.S. Trade
and Development Program. 1990. The Government of El Salvador
intended to build a container handling facility at the Port of Acajutla
to lower port congestion and increase handling efficiency. GIC studied
the potential increase in container traffic for the region and the competitiveness
of U.S. manufactured goods and engineering services for the project.

GIC designed a series of integrated investments in the Indian fruit and
vegetable wholesaling system to improve the distribution and marketing
of horticultural products in six states of India. The recommendations
were based on financial, cost-benefit and economic analyses of initiatives
